Peltz assembles investors for potential Wendy’s take-private bid

Nelson Peltz’s Trian is lining up investors, including BlueFive Capital and Flynn Group, for a possible take-private offer for Wendy’s, according to people familiar with the plans.

Trian Fund Management is assembling a consortium that could include BlueFive Capital and Flynn Group to pursue a take-private offer for Wendy’s. A formal bid could emerge within weeks, though timing may change. Wendy’s shares rose about 12% after reports of the potential transaction.

Trian holds an economic interest of about 16.24% in Wendy’s and has increased its direct stake to roughly 7.85%, based on regulatory filings.

BlueFive Capital has backed luxury automaker Bugatti. Flynn Group is one of Wendy’s largest franchisees. Trian has not commented. Representatives for BlueFive and Flynn did not respond to inquiries. Wendy’s stated it would carefully evaluate any proposal it receives in line with its fiduciary duties.

Wendy’s has faced declining customer demand and market share. The company withdrew its financial outlook for 2026 after another quarter of falling comparable sales. Analysts report the chain has lost share of the U.S. quick-service hamburger market for 17 consecutive months, with both transactions and visit frequency weakening.

A new leadership team is reviewing strategic alternatives as part of a turnaround plan. Company executives have noted promotional pricing and value deals have become less effective at attracting cost-conscious customers, creating pressure to find other ways to boost visits and sales.

Peltz and Trian have a history of activist interventions and previously explored a takeover of Wendy’s in 2022. Peltz co-founded Trian in 2005 and earlier this year indicated a willingness to consider outright acquisitions.

Wendy’s market capitalization is about $1.44 billion. Any formal offer would be reviewed by the company’s board and advisors under standard fiduciary and regulatory procedures, and market participants are watching for whether a proposal is filed and how Wendy’s leadership responds.
