Northern Star rebuffs Elliott push for sale or break-up

Northern Star rejected Elliott Management’s call to explore a sale or break-up, saying a sale process is inappropriate now and it will focus on fixing operations; shares fell 3.5%.

Northern Star Resources rejected Elliott Management’s call to explore asset divestments or a sale, saying a formal sale process is not appropriate at this stage. The stock fell about 3.5% in Sydney trading after the company disclosed the disagreement.

Elliott has built a stake of roughly 3%–4% in Northern Star, valued at more than A$1 billion. In a presentation titled “Northern Star Rising,” the hedge fund urged the miner to consider selling non-core assets or opening a broader strategic review that could lead to a takeover, and criticised the company’s capital allocation, operational performance and total shareholder returns.

In a letter to shareholders, chairman Michael Chaney wrote that recent share price performance had “fallen short of expectations.” He wrote the board “does not believe that initiating a sale process is appropriate at this stage.” Chaney noted the company had received past expressions of interest for mergers and acquisitions but judged those proposals not to be in shareholders’ best interests at the time. Chaney added the board will periodically review strategic options while focusing on running the business and improving performance.

Northern Star has faced operational problems in recent months, including several downward revisions to production guidance and setbacks at its Kalgoorlie processing facility that have reduced output. Those issues have weighed on investor sentiment and prompted scrutiny from Elliott.

Elliott argued that asset disposals or a formal sale process could unlock value for shareholders. Northern Star’s board declined to pursue a formal sale process, saying any change in strategy would follow an assessment of operating improvements and shareholder value. Investors will monitor the company’s ability to stabilise operations and whether Elliott increases pressure.
