GTCR, Elliott to Take CCC Intelligent Solutions Private
GTCR and Elliott Investment Management agreed to acquire CCC Intelligent Solutions for $4.6 billion. The deal is subject to regulatory approval and is expected to close in early 2027.
GTCR and Elliott Investment Management agreed to acquire CCC Intelligent Solutions in a $4.6 billion take-private transaction that values the automotive insurance software provider at about $6.1 billion, including debt. The deal is subject to regulatory approval and is expected to close in the first quarter of 2027.
CCC shareholders will receive $7.75 in cash for each share. The offer represents a 44% premium to the company’s closing share price on July 9, before reports of a potential sale emerged.
CCC provides software that automotive insurers and repair businesses use to manage claims, vehicle repairs and related processes. GTCR and Elliott plan to support the company’s investments in artificial intelligence and the expansion of its platform.
“Backed by GTCR and Elliott, we will be able to accelerate the development of our AI capabilities and expand our platform,” Githesh Ramamurthy, CCC’s chairman and chief executive, said in a statement.
Mark Anderson, GTCR’s head of technology, media and telecommunications, said the firm had followed CCC for several years and saw opportunities to support its growth as customers adopt AI-based solutions.
Elliott is pursuing the acquisition through its private equity investment arm. The investment firm built a stake in CCC earlier this year and has participated in buyouts involving Cloud Software Group, Syneos Health, Nielsen Holdings and Barnes & Noble.
CCC went public in 2021 through a merger with a special purpose acquisition company at a valuation of about $7 billion. Advent International acquired the business in 2017 and sold its remaining stake in 2025.
The transaction follows a period of lower software valuations, with investors assessing the effect of artificial intelligence on established software companies. Vehicle auction company Copart and several private equity firms had also explored acquiring CCC.
Morgan Stanley is advising CCC. JPMorgan is the lead financial adviser to GTCR, with Citigroup also advising the consortium.
