Broadridge, KSD sign MoU to modernize Korea proxy voting

Broadridge Financial Solutions and Korea Securities Depository signed a memorandum of understanding to explore electronic and cross-border proxy voting for Korean securities.

Broadridge Financial Solutions and Korea Securities Depository (KSD) signed a memorandum of understanding to cooperate on proxy voting. The agreement aims to modernize and streamline shareholder voting processes for Korean securities and for cross-border investors.

The MoU commits the two organizations to explore technical integration, pilot programs and information sharing to support electronic and remote voting, vote processing and related infrastructure. Broadridge, a U.S.-based provider of investor communications and proxy processing, will work with KSD, South Korea’s central securities depository, to assess how existing systems can be adapted or linked to improve vote submission, collection and tabulation for institutional and retail shareholders.

Under the MoU the parties will examine operational workflows, data standards and potential legal and regulatory requirements needed to expand electronic proxy capabilities. The collaboration addresses secure delivery of proxy materials, authentication of voter instructions, and the timeliness and accuracy of vote reporting.

The organizations plan to evaluate pilot projects that could demonstrate technical interoperability and identify changes needed to processes or rules. Any pilots or system changes would follow further planning, consultation with market participants and regulators, and regulatory approvals where required.

Broadridge has run global proxy voting programs that support institutional investors and custodians in multiple markets, including technology for distributing meeting materials and recording votes from remote holders. KSD operates core post-trade services in South Korea, including custody, settlement and clearing, and administers systems used by local and foreign investors and issuers.

The MoU frames an exploratory partnership rather than a binding implementation plan. The parties will coordinate with market participants and regulators as they test technical approaches and assess implications for governance, compliance and market practice.

Proxy voting determines how shareholders exercise voting rights at corporate meetings. Markets have been shifting to digital distribution of proxy materials and electronic vote capture to increase participation and reduce paper handling. South Korea’s market infrastructure has undergone reforms in recent years aimed at enhancing transparency and investor engagement.
